Job Title: Patent Assistant

Work Location : Hybrid – 2 days/week in person at the San Francisco, CA office

Essential Job Functions :

  • Process incoming new invention disclosures and the perform all corresponding processes associated the invention disclosures
  • Prepare and file patent-related forms such as assignments and foreign filing license requests, etc. with USPTO
  • Provide administrative support, such as making photocopies, preparing FedEx packages, and other support activities as assigned
  • Perform word processing and Excel spreadsheet functions including documents, graphs, tables, and database retrieval

Job Summary/Objective:

Central Synagogue is seeking an Associate Counsel to join the leadership team. Primary areas of responsibility include providing legal counsel in the areas of employment law, contractual law, insurance law, intellectual property law, and nonprofit governance.

Key Responsibilities/Essential Functions:

  • Partner with Central's leadership team, outside counsel, and the Board of Directors on all legal matters affecting the organization including governance, regulatory compliance, fundraising, human resources and risk management.
  • Manage the contract review and approval process for a wide variety of matters including facilities, programs and events both internal and external, technology, security, and human resources. Draft and negotiate a wide variety of transactions, work with outside counsel to develop templates as is necessary.
  • Work with the Chief Financial Officer on the procurement and management of insurance policies and renewals to ensure adequate coverage.
  • Partner with the Senior Cantor, Director and Assistant Director of Music, and Director of Production on the organization's intellectual property portfolio, including trademark, copyright and patent registrations and renewals.
  • Advise Human Resources professionals in employment-related personnel matters including review of all human resource documents including the Employee Handbook, new policy rollouts and implementation, and training programs.
  • Partner with colleagues including Human Resources and supervisors to build efficient processes to maintain compliance with employment laws and regulations.
  • Work along with Executive Director on management of outside counsel and oversight of Legal and Risk Committee.
  • Work with outside counsel to advise on applicable laws and regulations, including in the areas of religious and tax-exempt organizations, employment, intellectual property, fundraising, human resources, data security and privacy. Keep current on changes to applicable laws and communicate changes and potential impact.
  • May perform other duties including handling a variety of discrete transactional matters as assigned.

Overview

We are looking for an experienced IP attorney to provide expert advice and counseling to the business on a broad array of scientific, legal and strategic issues. This position will report to the Vice President, Intellectual Property and will be responsible for providing legal support to a number of different programs and products at various stages of development. The ideal candidate will have a deep understanding of IP law and bring strategic approaches to protecting Alnylam’s efforts.


 

Key Responsibilities

The Director, Patent Counsel will drive the creation of new patent applications to expand Alnylam’s intellectual property portfolio, including:

  • Performing patentability searches and prepare patentability opinions
  • Drafting and prosecuting patent applications directed to RNAi therapeutic agents and delivery technologies
  • Liaise with external legal counsel
  • Educate and advise employees on IP matters
  • Conduct freedom-to-operate searches and prepare FTO opinions in support of R&D efforts
  • Participate in due diligence with in-house and outside counsel to evaluate IP portfolios
  • Support late stage clinical programs
  • Provide IP support for marketed products including creating an maintaining Orange Book listings, obtaining all available patent term adjustments and providing general support for regulatory filings around the world.

 

Qualifications

  • Juris Doctorate from an accredited law school and membership in at least one State bar is required
  • Master’s Degree in biology, chemistry or biochemistry required, Ph.D. preferred
  • Admitted to practice before the U.S. Patent and Trademark Office

Responsibilities

In this role, you will be a key contributor to the team with the following responsibilities:
• Promote and develop new invention disclosures and make recommendations for patent filings.
• Draft and prosecute patent applications.
• Manage outside counsel in the prosecution of patent applications.
• Review, evaluate and advise on IP matters relating to the acquisition of third-party technologies.
• Conduct freedom to operate studies.
• Provide IP training to R&D.

Qualifications
• Registration before the U.S. Patent and Trademark Office and 5-10 years of patent prosecution experience are required.
• Advanced degree in a life sciences field and prior patent prosecution experience in a law firm or corporation is preferred.
