WGL - Associate General Counsel, Benefits

Washington Gas is seeking a full-time Associate General Counsel, Benefits to provide legal advice regarding a broad range of ERISA matters to various in-house clients.

The Associate General Counsel performs legal research and writing and provides guidance and recommendations to Senior Leaders, Benefits Committee and HR on all matters relating to sponsoring and administering plan(s), with particular emphasis on tax and compliance matters, particularly DB and DC 401(k).

This person will report to our Vice President and General Counsel, Midstream and Corporate and will work collaboratively with both in-house and outside counsel.

This person will have significant interaction with various stakeholders, as well as senior leadership, compliance, risk, and other control functions.

You will :

Serves as legal advisor to teams responsible for administering employee benefit plans. Collaborates with attorneys and other compliance and benefits team personnel on legal and compliance tax and risk issues.

Provide legal advice on employee benefits and executive compensation, including under ERISA, the Internal Revenue Code (including with respect to Section 409A), HIPAA, and the Patient Protection and Affordable Care Act.

Manage 401(k) and Welfare Plan Committee meetings, including setting agendas and drafting minutes.

Provide training and advice regarding fiduciary duties.

Draft 401(k), health, welfare, severance, and non-qualified deferred compensation plan documents, summary plan descriptions, and other governing documents.

Review deferred compensation plans, non-qualified retirement plans, severance, and other compensation plans for compliance with Internal Revenue Code Section 409A.

Review employee benefit communications.

Prepares legal summaries of ERISA, DOL and IRS statutes and regulations.

Evaluate and consult with clients on legal and business risks, including brand risk.

Proactively alert and advise on changes in law.

Negotiates and drafts benefit plan vendor contracts.

Assist with drafting and review of benefit disclosure items, including in the annual proxy statement.

Manage, review and provide counsel with respect to participant claims and assist with management of ERISA-based disputes and litigation.

Review, negotiate, and evaluate vendor contracts for services related to benefits plans (, investment advisors for 401(k) plan investments, third party administrator contracts for handling retirement and welfare benefit plans, etc.).

Provide general advice on various legislative and regulatory issues concerning employee compensation and benefits law.

Maintain a broad network of ERISA colleagues and seek out external development opportunities to keep abreast of standard methodologies and trends (, ABA Employee Benefits Committee, American Benefits Council, informal networking groups).

Advise on employee benefits issues in acquisitions and divestitures.

Manage outside counsel.

Stays current on legislative developments in the employee benefits space and provides necessary policy changes and conducts training as necessary.

You have :

JD degree and admitted to practice in the

8+ years of experience

Prior in-house experience a plus

Thorough understanding of ERISA and related laws

DOL regulations and laws related to federally regulated employee benefit plans.

Strong analytical and writing skills

Ability to work with and lead cross-functional teams

Ability to communicate complex issues effectively to senior-level business leaders

Admission in good standing in at least one state bar, preferably Virginia, with the ability to secure Virginia in-house Corporate Counsel designation.
