This Director level attorney position will work in the Ryan Legal Department reporting to the Vice President, Legal, who oversees support to Ryan's Property Tax, Income Tax, and Compliance practices (the "Practices") in addition to other duties. The role will work collaboratively and responsively with a broad range of accountabilities to support the growth, maintenance, and support of the Practices. The position in consultation with its supervisor, as well as the Vice President, Corporate Contracts, the Vice President, Litigation and the Practice Leaders of Property Tax, Income Tax, and Compliance will advise on various legal issues relating to the business of the Firm.

The scope of this advice includes substantive tax issues encountered by the Practices, contracting with clients, vendors, and outside legal counsel, tax litigation management, and client service issue management. This role will require direct communication providing legal advice and support to the Practices It will coordinate with the other Legal Teams for consistency of company governance, strategy, file management, and resolution. The role scope will be assigned as needed to support the firm, including potential rotations to a variety of projects. The role is a seasoned, experienced professional with a full understanding of their area of specialization. The role resource must demonstrate a strong ability to use professional experience, apply legal concepts and company objectifies to resolve complex issues in creative and effective ways.

This experienced lawyer advises and advocates for key Ryan stakeholders across the enterprise, primarily specializing in contractual matters relating to the Firm. These include sales contracts, vendor contracts, licensing, technology agreements, and strategic alliances. This senior position also serves as the lead lawyer assigned to several business units of the Firm; thus, he or she is generally responsible for providing (or arranging) legal support on any legal matters that relate to those units. This position reports to the Vice President of Contracts, who in turn reports to the Chief Legal Officer.

Duties
• Negotiates, crafts, and advises on contracts, including client engagement, confidentiality, and vendor agreements, software licenses and data privacy agreements.
• Serves as the lead lawyer for general legal matters relating to several business units within the Firm.
• Reviews and approves vendor agreements as requested.
• Develops and maintains contract templates
• May review, draft, and negotiate technology and strategic sourcing contracts.
• May create or review partnership, white label, alliance, & design partner agreements.
• May assist aligning terms and conditions of an acquired businesses client base with then current Ryan standards.

Experience
• US Juris Doctor Degree (JD) or equivalent and at least 12 years related experience or training.
• Experience utilizing Contract Lifecycle Management tools for contract execution and administration.
• Preferred: technology licensing and development, IP, and general technology experience, including data security, use, and privacy.

Computer Skills

Familiarity with e-billing software, and general familiarity with contract management systems.

Certificates And Licenses
• License to practice law in a US state.
• Preferred:
• Membership in the American Bar Association, or Association of Corporate Counsel
• Membership or Certification from World Commerce & Contracting, or National Contract Management Association

Work Environment
• Standard indoor working environment.
• Position requires hybrid work arrangement with at least 3 days per week in the office.
• Position requires regular interaction with employees at all levels of the Firm; interface with external vendors, attorneys, and clients also necessary.
• Travel requirement: less than 10%.
