About the Team
The Financing and Treasury team works cross-functionally with multiple stakeholders on financing, utilization, and management of capital globally. We are looking for a talented Compensation and Benefits Counsel to advise our Compensation, Benefits, and Performance (CBP) team on long-term incentive (LTI) matters inclusive of the employee stock ownership plan (ESOP).
Responsibilities
- Serve as a key legal advisor and business partner to the CBP team on ESOP matters
- Work with CBP teams globally to assess special LTI programs, review LTI award agreements, advise on various LTI implementation scenarios, and provide legal risk mitigation strategies to ensure legal compliance from a US legal perspective with a focus on securities laws and tax regulations
- Develop strategies to address legal issues in creative, business-centric ways.
- Build processes that manage risk and allow the Company's LTI plans to attract and maintain talents continuously
- Advise on the tax and securities issues arising in equity compensation arrangements and handling real-life and cutting-edge employee benefits-related issues
- Coordinate with CBP team, HRBPs, public policy, communications, employment law counsels, and other cross-functional colleagues on projects which would allow the Company's LTI plans to attract and maintain talents continuously

Qualifications

Basic Qualifications
- Bachelor's degree plus Juris Doctorate from an ABA-accredited law school
- 10+ years of legal experience as a licensed attorney, including experience in employee and executive compensation and benefits legal/tax practice with a focus on the technology industry or similar experience
- In-depth understanding of the securities and tax regulations that commonly apply to employee equity compensation arrangements
- Hands-on experience designing and implementing LTI plans at similar organizations within the US market

- Enthusiastic about compensation and benefits legal practice and curious about the market practices in Silicon Valley and worldwide
- Exceptional initiative and proven ability to work efficiently and effectively in a fast-paced environment
- Ability to work independently while contributing successfully to cross-functional teams
- Experience working with international teams in non-US markets in a cross-functional environment
- Excellent organizational skills, ability to manage multiple projects at once, follow through, and meet deadlines
