ABOUT THIS POSITION The Legal Counsel (LC) will support the firm's Legal Capital Markets transactional activities and will report to the Managing Legal Counsel in the Transactions group. In addition to the core responsibilities of the role, the LC is expected to participate in all aspects of the Legal Capital Markets practice, as needed, including providing support regarding current developments, regulations and issues impacting the firm's capital markets activities. ROLE SUMMARY -Assess, negotiate and close a broad variety of transactions from inception through closing/settlement or resolution. Primary focus will be on private company equity investments and other equity investments. Secondary focus will be on fixed income, municipal debt bank debt and restructuring transactions. -Handle multiple matters simultaneously with tight deadlines -Solves unique problems that have a broad impact on the business and organization function, including settlement of complex and foreign private investments -Provide well-reasoned and authoritative advice on best courses of action in area of expertise to internal clients such as Investments, Trading, Legal, Risk, Investment Operations and other teams -Advocate for and represent the interest of the firm and its clients with outside counterparties such as issuers, arrangers, portfolio companies, brokers, dealers, external and opposing counsel and others RESPONSIBILITIES Reviews transactions and business issues, conducts extensive legal review, research (as necessary) and investigations with the assistance of team members, and crafts legal solutions, balancing internal and external stakeholder interests with the risks of adverse legal actions, risk, loss, or reputational damage. Issues are typically complex and require creative solutions within tight timeframes. Frequently enlists more junior colleagues to conduct more routine assignments within large-scale matters/issues. Communicates and collaborates with leaders who also serve in an advisory or oversight capacity and independently develops the legal response/position for complex issues identified as the most severe risks or areas of noncompliance. Analyzes and assesses summaries of legal matters and due diligence materials prepared by others and uses expert knowledge and sound judgment to confirm their accuracy, potential impact, and necessity for action. Maintains a significant understanding of practice and functional area products and services and frequently specializes in specific products and practice areas. Maintains expert knowledge of all regulations relevant to the practice or functional areas. Continues to advance and share knowledge through participation in internal presentations and external industry or professional events and may exert influence on industry thinking. Handles a portfolio of complex, specialized transactions and legal issues, including serving as an advisor to internal and external stakeholders and managing outside counsel. Provides work guidance and mentoring to other legal department colleagues. May manage multiple micro-teams. QUALIFICATIONS Required:
Law Degree from accredited law school and admission to the MD State Bar or other State Bar and in good standing 2-5
years of law firm or in-house experience with a primary focus on equity and secondary focus on fixed income, municipal debt, bank debt and restructuring transactions, with an emphasis on private placement transactions Experience with venture capital, private equity, fixed income, municipal debt, bank debt and restructuring transactions.
Salary Range:
$80K -- $100K
Minimum Qualification
Legal & RegulatoryEstimated Salary: $20 to $28 per hour based on qualifications.
