Position Summary

Under general supervision and according to established policies and procedures provides legal/general support to the firm's attorneys and their clients. Must be familiar with and observe the firm's established policies and guidelines. Must maintain positive contact with attorneys (both the firm's and outside counsel), support staff, clients and vendors. Observes confidentiality of client and firm matters.

Essential Functions
• Experience in drafting basic filings for bankruptcy court
• Experience in drafting basic bankruptcy schedules and claims
• Experience drafting basic conveyance documents
• Knowledge of bankruptcy proceedings
• Experience with UCC searches and review of other similar public records;
• Experience with formation of corporations, limited liability companies and limited partnerships, including preparation of formation documents, bylaws, organizational minutes and obtaining EIN’s;
• Experience in Corporate Due Diligence;
• Experience with the preparation and filing of corporate filings and UCC financing statements;
• Experience in the preparation of documents in connection with transactional closings such as secretary and officer certificates, closing agenda, obtaining good standing certificates and certified charter documents;
• Ability to do initial drafts of basic corporate documents and various agreements and prepare closing checklists;
• Experience with obtaining lien and judgement searches, helping to determine proper location for searches and summarizing search results as needed;
• Experience in analyzing due diligence documents for acquisition and real estate finance transactions;
• Experience in organizing and assisting with closings including review of settlement statements;
• Perform all the necessary follow-up for all post closing matters, including finalizing of closing binders;
• Experience in dealing with multi-state loan/acquisition transactions;
• Highly motivated and a self-starter;
• Ability to interact well with attorneys, staff and clients;
• Ability to review pleadings to track status of cases and determine and calendar deadlines.
• Excellent organizational skills re: case and/or project management;
• Organize files and maintain documentation, i.e., discovery materials, depositions notices, deposition exhibits and summaries;
• Experience with preparing subpoenas and deposition notices and set up;
• Familiar with database and litigation software packages, i.e., Excel, Relativity, Case Notebook, a plus;
• Ability to assist attorneys in preparing correspondence, documents, motions and pleadings;
• Familiarity with E-filings in various federal and local state courts;
• Ability to assist attorneys with trial and/or arbitration preparation and attend trials and/or arbitrations;
• Ability to work and learn independently;
• Knowledge of Federal and Local State Civil Procedure Rules;
• Familiarity with cite checking and blue booking is a plus; and
• Excellent writing and proofreading skills

Education: Undergraduate degree and paralegal certificate required; will consider candidate with comparable relevant experience in lieu of a paralegal certificate.

Experience: Paralegal with at least 7 - 10+ years of transactional and finance legal experience needed.

Skills: Excellent verbal and written communication skills as well as the ability to work with individuals at all organizational levels. Ability to organize and prioritize issues and workload.
