Who You Are

The Senior Corporate Counsel, Securities & Governance, will be responsible for drafting, reviewing, and managing the Company's Securities Act and Exchange Act filings, including periodic reports, the Company's annual proxy statement, and Section 16 ownership reports. This person will also play a vital role in the Company's corporate governance matters, including preparing for the annual shareholder meeting and coordinating the Board of Director's communications and approvals.

In addition, the Senior Corporate Counsel may be required to play a role in negotiating a broad range of contracts, such as service and supply agreements, distribution agreements, consultant agreements, development agreements, license agreements, sales, purchase agreements, and clinical trial agreements, and may also be tasked with review and implementation of Company policies, including employee equity issuance programs and restrictions on insider trading. The Senior Corporate Counsel will also manage various legal matters, such as disputes, litigation, and strategic projects. In this position, you will be part of a collaborative Legal team focused on transactional and transformative business dealings across BridgeBio and its subsidiaries.

Responsibilities
• Draft and coordinate filing of Securities Act and Exchange Act filings
• Manage corporate governance workstreams, including Board and Committee communications and approvals under Delaware corporate law
• Manage various legal matters, disputes, litigation, and strategic projects as requested
• Collaborate across many functions, departments, and subsidiaries to drive results on complex projects

Education, Experience & Skills Requirements
• JD Degree from a U.S. Accredited law school (or equivalent plus U.S. LLM)
• At least 6+ years of experience with significant work in a corporate & securities practice or in-house experience in a publicly traded company
• Public Company – Corporate governance experience, including Board and Committee meetings and approvals under Delaware law and familiarity with Environmental, Social, and Governance (ESG) goals and guidelines
• Securities Law – experience with Securities and Exchange Commission and Nasdaq regulations, including both registered (S-3, S-8) and unregistered equity issuances and periodic reporting (10-Qs, 10-Ks, 8-Ks, and proxy statements)
• Familiarity with insider trading regulations and restrictions and Section 16 ownership reports (Forms 3, 4, and 5)
• Pharma Experience - Transactional and contract experience at a major law firm, with a combination of in-house experience at a medical device or pharmaceutical Company
