Job Summary

Spectrum Brands is actively searching for a Corporate Paralegal to join our team This position provides legal support to the Corporate Legal Department and carries out the operation and administrative functions of the legal department, including management of the entity management system and the matter and contract management system. This position also provides support to other executives and in-house counsel in corporate-level transactions.
Primary Duties & Responsibilities
• Work directly with the Assistant General Counsel as well as other in-house counsel, executives, and outside counsel to support all aspects of mergers and acquisitions, financings and other strategic corporate development transactions including:
• Coordination of due diligence requests
• Creation and maintenance of virtual data rooms
• Document preparation
• Closing mechanics
• Post-closing integration and administration
• Coordination of in-house legal staff to ensure proper and timely execution
• Prepare, organize, and maintain minutes, resolutions, consents, and other materials for over 100 subsidiaries, both domestic and international.
• Assist with preparation of annual Proxy Statement and 8-K filings with SEC.
• Assist with the setup and maintenance of corporate legal request system and corporate contract system.
• Assist with the drafting and administration of contracts and agreements.
• Assist in responding to requests for information and documents from the Company's internal and external auditors, regulators, and other stakeholders, including updating the Company's litigation chart.
• Receive and ensure proper handling of service of process for the Company and its subsidiaries.
• Assist with a wide range of ad hoc projects and research as required.
Education and Experience Profile
• Bachelor's Degree from an accredited school
• Paralegal certificate or relevant legal experience
• 5+ years relevant experience working in a law firm, agency, or corporate law department
• Notary Public (or willing to be commissioned)
Required Skills
• Thorough knowledge of the principles, practices, and operating detail of the Company; exercise good judgment and make sound decisions based on this knowledge.
• Proficient in modern legal office practices, procedures, and terminology; general legal principles and application; various legal documents formats and presentations.
• Thorough knowledge of the Company's policies and procedures including the roles of the senior executives and Board members.
• Knowledge and to work on a broad variety of legal matters.
• Ability to operate independently and demonstrate resourcefulness in a fast paced and changing work environment.
• Flexibility and knowledge to manage numerous projects simultaneously under deadline pressure.
• Ability to communicate with every level of personnel in addition to executives and directors.
• Ability to communicate effectively verbally and in writing.
• Professional and ability to function in a highly confidential work environment.
• Strong organizational skills with the ability to prioritize.
• Advanced knowledge of Microsoft Word, Outlook, Excel, Power Point, and Internet Explorer.
• Working knowledge of SAP and Esker (accounting software) a plus.
