Job Description

Armanino is looking for an experienced Assistant General Counsel to join its small, but mighty, legal team. This is a great opportunity for someone looking to play a key role in the legal function, with many opportunities to drive process and innovation. You will serve as the designated legal business partner for many of Armanino’s diverse and exciting functional business groups and verticals, from Tax and Audit to Blockchain and Risk Assurance Advisory. You will also support Armanino’s Operations teams, including IT, Finance and HR. We are seeking a seasoned lawyer who can manage multiple tasks and responsibilities in a fast-paced and innovative environment. The ideal candidate is a pragmatic decisionmaker, willing and excited to immerse in Armanino’s broad range of services and products. You should possess exceptional judgment and business acumen, and be comfortable, effective and persuasive in dealing with customers, executive management, and business stakeholders at all levels. This role will report directly to the General Counsel.

Job Responsibilities

  • Develop an understanding of Armanino’s service lines and associated risks and provide day-to-day legal advice and counsel to internal clients.
  • Manage a diverse variety of legal matters arising out of Armanino’s operations and various service lines, including, general commercial transactions, compliance and risk management and privacy matters.
  • Draft and negotiate professional services and technology-related agreements, including master services agreements, engagement letters, confidentiality agreements, SaaS agreements, data protection agreements, software licenses, and other agreement necessary to support the operation of the Firm and its various service lines.
  • Maintain form agreements and develop new ones, as needed to support new product and services offerings.
  • Provide business teams with timely and high-quality advice on changes in law, regulation, and industry standards relating to regulatory changes, technology, data, privacy, security/cybersecurity, and other concerns.
  • Support M&A and post M&A integration.
  • Assist with the management of corporate governance and compliance issues.
  • Advise on human resources/employment matters.
  • Provide proactive counsel and support to ensure company compliance with federal and state laws and regulations.
  • Participate in the development and improvement of corporate policies, procedures and programs, including efforts to efficiently provide legal services to a large and growing organization.
  • Provide support and training to employees on legal issues and firm policies.
  • Manage various special projects and deadlines.

Requirements / Qualifications

  • 7+ years of combined in-house and/or law firm experience

  • Active member in good standing with at least one U.S. State Bar required

  • J.D. from accredited law school required

  • Strong interpersonal skills and proven track record of developing relationships across an organization

  • Ability to dissect and clearly communicate complex legal concepts in a simple, actionable manner

  • Excellent contract negotiation and drafting skills, with deep expertise in a wide array of contractual relationships

  • Detail-oriented and organized leader

  • Experience building legal teams and leading internal resources, while optimizing and managing outside counsel

  • Comfortable and adept at partnering with the sales organization in fast paced environment

  • Can-do attitude and willingness to roll up your sleeves, get into the details of the business and legal work of the company, and take on projects involving unfamiliar subject matters

  • Effective communicator, with a strong yet constructive negotiation presence

  • Highly responsive with a service-oriented attitude

  • Able to prioritize and manage multiple projects at once with a sense of urgency, follow through, and meet deadlines under tight schedules

  • Comfortable balancing risk with company objectives and finding creative solutions to sensibly drive the business forward

  • Able to operate autonomously, but also to work collaboratively as a team player with legal colleagues and internal business players

  • Bonus points for previous experience with any of the following: regulated industries / accounting; privacy laws (GDPR/CCPA); M&A / diligence; corporate law; technology and SaaS agreements; labor & employment
