WHAT YOU'LL DO

As a Legal team member, you will work across BCG teams and functions to support our business growth strategy, provide counsel and expertise, drive legal innovation, and leverage the power of new ways of working in our journey to become an industry best team.

WHAT YOU'LL DO
Senior Legal Counsel - Governance is expected to be a seasoned and skilled lawyer, able to independently address the full range of global legal issues facing BCG and with a particular expertise in all aspects of corporate governance. Among other things, you will:
• Have broad experience in corporate legal matters, especially formal and informal governance, governance agreements, internal decision-making and corporate secretarial activities;
• Be experienced in public company filing and reporting requirements, disclosures, organizational data management;
• Manage BCG's corporate entity structure, policy compliance, Board membership, Insider trading, & conflicts;
• Navigate governance and decision-making across BCG's multinational and heavily matrixed decision systems, including structuring/re-structuring initiatives;
• Drive BCG's election processes, Board preparation, voting, committee membership, and other critical governance activity;
• Be attuned to reputational issues that might impact BCG as well as navigating sanctions, conflicts and other similar issues;
• Thought partner on updates to global governance and oversight processes and structures;
• Provide general corporate, transactional and commercial legal support;
• Take ownership of discreet legal initiatives as they arise based upon changing business priorities;
• Be experienced in quickly and independently spotting issues, managing complex governance issues, transactions and other legal issues;
• Contribute to developing and maintaining Legal Team intellectual property, including template forms and other materials; and
• Performing other duties as assigned or required.

• Excellent communicator, able to quickly and clearly define issues and solutions to non-legal clients;
• Ability to lead a project team or task force initiative, using independent judgement and providing direction, inspirational mentoring, and coaching to team members;
• Superior analytical skills and creative problem-solving ability, with an appreciation for striking a practical balance between business and legal objectives;

• The ability to quickly comprehend complex sets of international laws and regulations and interpret those laws within the context of BCG's global policies;
• A positive, dynamic, client-focused approach to legal practice;

• Be a pragmatic, high-energy professional, with personal and professional self-confidence;
• Being proactive, hardworking and a team player who leads by being persuasive and credible and has the interpersonal skills necessary to build relationships throughout a loosely structured organization; and

YOU BRING (EXPERIENCE & QUALIFICATIONS)
• Graduate degree (J.D.) in Law from an accredited US law school and admitted to practice;
• 7+ years of corporate experience with direct governance responsibility, public company filings and reporting, and international exposure;
• 3-5 years with a reputable law firm; prior relevant in-house experience preferred;
• Excellent written and oral communication skills;
• English fluency
YOU'LL WORK WITH
A variety of cohorts and functions across the company, including senior leadership, other members of the BCG Global Legal Team, and the partnership. You will report into the Corporate group within the Legal Team.
