Job Description

Aledade seeks an experienced attorney to provide advice and support on a wide range of legal and business matters. The Associate General Counsel will be responsible for drafting, reviewing, and negotiating various corporate agreements entered into with national and regional health plans, with a focus on risk-sharing arrangements including gainsharing arrangements and pay-for-performance, among others, as well as all agreements entered into in connection therewith. This attorney must be comfortable with various risk sharing arrangement programs such as Medicare Advantage, Medicaid and various other commercial programs and will work closely with Senior Leadership on such risk-sharing arrangement contracts and all related corporate legal matters. The Associate General Counsel will have a multi-faceted role spanning support for the commercial team and critical business partnerships.

We are flexible with respect to geographic location, and the ideal candidate will be comfortable working remotely/work from home within the US or from our HQ office in Bethesda, MD.

Job Responsibilities

  • Structure, draft, negotiate and review complex commercial agreements, including risk-sharing arrangements such as gainsharing arrangements and pay-for-performance, among others, with national and regional health plans, and a variety of third parties.
  • Review, structure and discuss with internal clients terms of commercial agreements in various program spaces such as Medicare Advantage, Medicaid, and other basic commercial arrangements with health plans.
  • Review, redline and negotiate general documents in connection with such gainshare arrangements such as data use agreements, confidentiality agreements, participation agreements, network services agreements, etc.
  • Create, improve, and implement internal processes and procedures and guide teams in standardizing such contracts.
  • Respond to legal requests on a topics related to Aledade‚Äôs participation in risk-sharing arrangements and related programs and provide guidance as a subject matter expert.
  • Handle additional assignments and responsibilities as needed.

Requirements / Qualifications

  • J.D. degree and membership in at least one state bar.

  • 12+ years prior experience in a business-oriented law firm or in-house legal department (preference for someone who has been in-house at a payer).

  • Advanced level contract drafting and negotiation skills related to risk-sharing arrangements and related documents. Ideal candidates will have experience with customized and/or bespoke agreements.

  • Experience with healthcare companies or health plans.

  • Strong written, communication, and research skills.

  • Interacts with others in a positive, respectful, and considerate manner. Ability to communicate effectively and professionally, including the ability to explain complex information to non-lawyers.

  • Ability to work in a team environment while also delivering independent results

  • Demonstrated ability to work under competing deadlines and adjust responsibilities in response to recalibrated business needs.

  • Ability to be flexible and scale in an extremely fast-paced, thriving startup environment.

  • Thinks beyond their immediate team and contributes to making Aledade holistically better (active engagement in D&I efforts, culture initiatives, facilitating training, leading roundtables, etc.)

  • All prospective hires will be required to demonstrate that they have been fully vaccinated against COVID-19 with a COVID-19 vaccine for which the U.S. Food and Drug Administration has issued a license or an Emergency Use Authorization prior to November 1, 2021, or their mutually-agreed upon start date at Aledade, whichever is later, unless they qualify for a medical or religious accommodation to this vaccination requirement.
