Essilor of America, Inc. (Essilor), is the leading manufacturer and wholesaler of prescription lenses in the United States.
We currently have a Legal Counsel for NOCCA and Mexico career opportunity at our Miami, FL location.
ROLE AND MAIN ACTIVITIES
The Lawyer of NOCCA Region and Mexico will be responsible for all legal work related to the NOCCA region and Mexico based in Miami, USA, which includes the following:
Contracts - drafting, review and coordinate signatures of local contracts, including, distribution, supply, services, advertising, sponsorship , lease, loans, collaterals etc.;
Corporate â ¬â drafting, review and coordinate signatures of Amendments to Articles of Association/By-laws, Minutes of Shareholders' and Board of Directors' Meetings, keeping books and records of all corporate work of all local legal legal entities and JV partnerships with the support of our external and internal legal counsels, including serve as Company Secretary of certain Meetings, powers of attorney, interpretation and amendments to SHAs, etc.;
Litigation - manage pre-contentious matters and current and future litigation cases of local legal entities and JV partnerships, which will be filed and defended by outsourced law firms, mostly debt collection lawsuits and warranties/guarantees provided by customers, including review of provisions and classification of cases;
IP - coordinate the IP work performed by external lawyers and our HQ/Global IP team, such as filings of trademarks and patents, drafting and review of technology transfer and license agreements etc., review of marketing campaigns and actions involving trademarks, launch of new trademarks etc.;
Legal Policies & Compliance - implementation of Global and LatAm regional Compliance policies, such as Commercial Policy, ABC and AML, CoI etc., provide training sessions to local employees on Compliance and Legal themes and policies, assist LatAm GC and HR/ACS teams with investigations, the latter when required;
Legal Systems - insert corporate and contrats documents into legal systems â ¬â ENABLON and Legal Suite for the legal entities under its management;
Audits - support to internal and external audits â ¬â legal matters; and
JVs and M&A - legal assistance in relation to the interpretation of our JVs Shareholders Agreements and SPAs. M&A activities and projects will be excluded from the Lawyer's scope of work. These will continue to be conducted by the Senior Legal M&A Manager based in Rio/Brazil, however, NOCCA and Mexico Legal Counsel will play a key role in assisting with risk mitigation plans, dd analysis, closing required corporate signatures and filings, as well as with integration of the new legal entity/business into Essilor group/region and post-closing obligations.
MISSIONS
1. Pro-actively assess and mitigate legal risks associated with the NOCCA's and Mexico's business activities, as well act as an ambassador of the Essilor Group Principles and Values â ¬â protection of the Essilor Group's reputation;
2. Be an active member of the local team participating in the key meetings providing legal support as required to all members of the NOCCA and Mexico teams;
3. Manage the external legal work from the lawyers Essilor retains for NOCCA and Mexico, including the review of the invoices to be approved the LatAm General Counsel.
4. Provide Compliance and Legal training to local employees and JV collaborators located in NOCCA and Mexico.
PERFORMANCE CRITERIA
1. Qualified Lawyer in the USA, Florida Bar or other US State Bar (also desirable to be qualified in another Spanish speaking jurisdiction)
2. Solid experience (minimum 5
years, ideally 8 years) in commercial law (contracts) and corporate law; knowledge & experience of in-house work (including general knowledge of IP law, commercial litigation and arbitration) â ¬â at least 2
years in-house (ideally);
3. Legal budget knowledge;
4. Fluent in English and Spanish â ¬â Legal terminology is required;
5. Strong legal analytical skills (drafting of legal opinions, management of local legal work independently);
6. Proficiency in Microsoft Office, including Word (advanced), Excel and PowerPoint;
7. Compliance (anti-bribery and anti-corruption laws) knowledge and training skills;
8. Ability to handle multiple tasks and work under pressure;
9. Open to learn from others and honest about not knowing certain areas of law â ¬â searches for help; and
10. Team player, likes people and work in teams.
