Job Description

OpenTable and KAYAK are looking for a motivated and enthusiastic Marketing and Advertising Counsel to help navigate the fun and tasty world of marketing and advertising in dining and travel.

This position can work from any of our U.S. offices, be fully remote or a hybrid of in-office and remote work. Your role as a key member of the legal team will involve primarily supporting the OpenTable and KAYAK marketing and brand teams, providing advice on marketing, advertising, offers, events and promotions, reviewing marketing communications, consumer and business-to-business advertising, marketing/client pitches & presentations, digital creative, and drafting and negotiating marketing-related agreements and licenses and managing the intellectual property portfolio for both OpenTable and KAYAK brands. This role will report to our Corporate Counsel. The role requires excellent interpersonal skills, good judgment, and the ability to excel in a fast-paced cross-functional environment.

Job Responsibilities

  • Advise on marketing initiatives, advertisements and promotions, review content, presentations, and materials related to promotion of OpenTable's and KAYAK's products and services to consumers and potential partners (restaurants)
  • Support marketing related events and co-branded partnerships
  • Advise on media / content rights and any required clearances or talent releases
  • Work closely with teams across our organization, including communications, product, sales, and finance, as well as senior management, to ensure alignment
  • Educate and train the organization on legal aspects of marketing, advertising, content & social media
  • Draft contest sweepstakes rules for marketing team initiatives
  • Support teams in the U.S. and around the world on marketing-related activities
  • Review advertising insertion orders and agency terms for placements on
  • Negotiate, draft and review agreements and service contracts and content licenses
  • Manage the OpenTable and KAYAK IP portfolios (including trademarks, patents, copyrights, and trade secrets)
  • Perform marketing and advertising legal research, including on both U.S. and non-U.S. jurisdictions

Requirements / Qualifications

  • JD from a nationally recognized law school

  • Admission to a U.S. state bar

  • Minimum 2 years' experience practicing law with a focus on marketing, with at least 1 year of in-house experience preferred

  • Working knowledge of applicable legal and regulatory concerns, including marketing and promotions law and FTC compliance

  • Familiarity with IAB (Interactive Advertising Bureau) or Dentsu standard terms is a plus, but not required

  • Solid negotiation & contract drafting skills and experience

  • Strong communication skills, and the ability to communicate and explain complex legal issues to various business partners, including senior management

  • Exceptional facility with spotting issues, assessing and communicating risks, making common-sense decisions in the face of ambiguity, and finding flexible/creative solutions to achieve business goals

  • Ability to balance multiple matters simultaneously and to respond quickly to shifting priorities under tight deadlines

  • Highly motivated and resourceful with the ability to work proactively and independently

  • Language skills and/or multijurisdictional experience a plus (but not required)
