Job Description

Barilla America, Inc. wants to recruit an In-House Counsel in Northbrook, IL. The individual will report to the General Counsel - America.

Job Responsibilities

  • Negotiates, drafts and reviews of a variety of documents, including nondisclosure agreements, master services agreements, supply and distribution agreements, customer forms, leases, licenses, among others. Provides legal advice on contract interpretation, termination, and strategically manages disputes resolution.
  • Under General Counsel supervision and aligned with Global Food/Regulatory Counsel and the RDQ Unit (in particular Quality and Technical Regulatory), reviews labels and advertising materials to ensure material compliance with regulations and company’s policies, as well as mitigation of litigation risks.
  • Work with Global Intellectual Property team and outside counsel to ensure patents, trademarks, copyrights, and domain names are properly secured. Provides advice to ensure non-infringement of third-parties IP rights.
  • Together with the General Counsel, coordinate the defense on all threatened and active litigations matters. In addition, working with or without outside counsel, manages matters where the company is the plaintiff or beneficiary of a lawsuit.
  • Provides ad hoc advice and develops/delivers training on several critical areas of compliance, including antitrust, privacy, anti-money laundering, and international sanctions. Manages third-party due diligence process for the Region.
  • Leads work streams on due diligence, an evaluation of potential acquisitions.
  • Lead on Corporate Secretarial outsourcing project, coordinating with external consultants. Drafts and/or reviews documents and provides advice on compliance with the company’s policies on corporate matters (Board resolutions, Delegation of Authority, etc). Other duties as assigned from time to time.

Requirements / Qualifications

  • JD degree from an accredited law school or JD equivalent plus LLM from a reputable law school.

  • Licensed to practice law in a jurisdiction.

  • Minimum 5 years of experience in the general practice of law in a private law firm or a corporate law department.

  • Integrity and trust must be the foundation of this candidate’s philosophy.

  • Proficiency in a foreign language and experience with CPG/FMCG industry can be a plus.
